Open a Branch in the Russian Federation

Like Accredited Representative Offices (ARO), a branch is a direct presence of the local company in Russia. But unlike the ARO, whose activities are limited, a branch may engage in any lawful business activity. On the other hand, a branch does not enjoy the profits tax benefits and the Value Added Tax (VAT) benefits enjoyed by AROs. Because the branch may generate its own resources, it is presumed to have both taxable income and the opportunity to pass through its VAT expenses.

For preparation of a package of documents for opening a branch in Russia a US company must provide the following supporting documents:

  • original letter from the bank (notarized);
  • certified copy with Apostille of Certificate of Incorporation, Business Certificate, Partnership Certificate (whichever is applicable), or other proof of registration; *
  • certified copies with Apostilles of any subsequent Amendments or Addenda;*
  • original Certificate of Goodstanding with Apostille;
  • a photostatic copy of the company's By-laws (Charter, Articles of Association), certified as to their authenticity by the company’s principal officer whose signature has to be notarized;
  • notarized resolution of the Board of Directors (or consent of the sole Director) on opening a branch;
  • Power of Attorney to head of the representative office (notary’s signature has to be certified by Secretary of State - Apostille);
  • Optional - Power of Attorney to a representative of the foreign company in Russia (notary’s signature has to be certified by Secretary of State - Apostille);

Registration of Branches and Accredited Representative Offices

Accredited Representative Branches should register with the State Registration Chamber (with the Ministry of Justice of the Russian Federation).
